This REIT Listing Agreement (the "Agreement") is made and entered into as of July 27, 2024 by and between:

(hereinafter referred to as the "Broker")

WHEREAS, the Company desires to list its REIT shares on the [Name of Exchange or Platform] (the "Exchange"); and

WHEREAS, the Broker is willing to assist the Company in listing its REIT shares on the Exchange in accordance with the terms and conditions set forth herein.

NOW, THEREFORE, the parties agree as follows:

  1. Services Provided by Broker
    The Broker agrees to provide the following services to the Company:

    • Assist in preparing and filing the necessary documentation for the REIT listing.
    • Facilitate communication between the Company and the Exchange.
    • Provide advice and guidance on compliance with Exchange listing requirements.
    • Conduct market analysis and pricing recommendations for the REIT shares.
    • Assist in the preparation of any marketing materials related to the REIT listing.
  2. Company's Obligations
    The Company agrees to:

    • Provide the Broker with all necessary information and documentation required for the REIT listing.
    • Pay all fees associated with the REIT listing, including but not limited to Exchange fees, legal fees, and any other costs incurred in connection with the listing.
    • Cooperate with the Broker in all aspects of the REIT listing process.
  3. Compensation
    In consideration for the services provided by the Broker, the Company agrees to pay the Broker as follows:

    • A listing fee of [Fee Amount], payable upon execution of this Agreement.
    • A success fee of [Percentage]% of the total amount raised from the REIT listing, payable upon completion of the listing.
  4. Term and Termination
    This Agreement shall commence on the date hereof and shall continue until the completion of the REIT listing or until terminated by either party upon [Number] days' written notice. In the event of termination, the Company shall pay the Broker for all services rendered up to the date of termination.

  5. Confidentiality
    Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of this Agreement and to use such information solely for the purpose of fulfilling their obligations hereunder.

  6. Indemnification
    The Company agrees to indemnify and hold harmless the Broker from and against any claims, losses, liabilities, and expenses arising out of or in connection with the Broker's performance of services under this Agreement, except to the extent that such claims arise from the Broker's gross negligence or willful misconduct.

  7. Governing Law
    This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

  8. Dispute Resolution
    Any disputes arising under this Agreement shall be resolved through arbitration in the Province of Ontario, in accordance with the rules of the Canadian Arbitration Association.

  9. Entire Agreement
    This Agreement constitutes the entire agreement between the parties with respect to the REIT listing and supersedes all prior agreements and understandings, whether written or oral, between the parties.

  10. Amendments
    Any amendments to this Agreement must be made in writing and signed by both parties.
